Non-Exclusive License Agreement

By purchasing this non-exclusive license (the "License") for the instrumental music track (the "Beat") from Douglas Truscott (sund3rground) ("Licensor"), you, the purchaser ("Licensee"), agree to the following terms and conditions:

1. Grant of License: Licensor hereby grants to Licensee a non-exclusive, royalty-free, worldwide right and license to use, reproduce, publicly perform, distribute, and synchronize the Beat in connection with your musical compositions, recordings, and projects ("Works") in perpetuity.
2. Restrictions: Licensee may not resell, lease, sublicense, or otherwise transfer the Beat to any third party without the express written consent of the Licensor. Licensee shall not use the Beat for any unlawful or unauthorized purposes. This License is non-transferable and non-assignable.
3. Credits: Licensee shall give credit to the Licensor on all Works that use the Beat, using the following format: "Produced by sund3rground".
4. Ownership: Licensor retains full ownership and copyright of the Beat. This License does not transfer any ownership or intellectual property rights in the Beat to the Licensee.
5. Limitation of Liability: Licensor shall not be liable for any indirect, incidental, special, or consequential damages or any loss of revenue, profits, or data arising in connection with this License or the Licensee's use of the Beat.
6. Agreement: This License constitutes the entire agreement between the parties with respect to the Beat and supersedes any prior or contemporaneous agreements, representations, or understandings between them.
7. Governing Law: This License shall be governed by and construed in accordance with the laws of the State of Colorado without regard to its conflict of law provisions.
   

By purchasing and downloading the Beat, Licensee acknowledges that they have read, understood, and agreed to the terms and conditions of this Non-Exclusive License Agreement.
